style='line-height:2em;font-size:15px;letter-spacing:2px;'>东坡区法院深入践行“法治是最好的营商环境”理念，创新建立民营企业正向扶持激励机制——涉诉民营企业“白名单”制度，将立审执各阶段便民惠民政策进行有机整合，切实降低民营企业因恶意保全、频繁应诉、解纷过慢等涉诉因素引起的额外成本。本案是运用涉诉民营企业“白名单”制度实质解纷的生动实践，不仅避免了司法审计鉴定、一二审、强制执行等冗长司法程序，而且促成了当事人权益快速兑现，矛盾纠纷得到实质化解，切实减轻了诉累。对“白名单”企业提供精准司法服务的同时，注重保护对方当事人的合法权益，体现了正向扶持、平等保护原则。督促“白名单”企业主动履行义务，起到规范市场主体的“红领巾”示范带动作用，释放了企业信用赋能效应。<br></p><p style='line-height:2em;font-size:15px;letter-spacing:2px;'>本案被告单位系一家福利性企业，解决了10多名残疾职工就业，承担着一定的社会责任，受疫情影响，案发后未能如期补缴税款，在我市公安机关主动作为和积极推动下，法院裁判前制定补缴税款计划并得到税务机关认可，对该公司和经营负责人郑某某从宽处罚，有效避免了因一案而毁掉一个企业的不良后果。2024年3月18日，该案被最高法、最高检联合发布为全国依法惩治危害税收征管典型刑事案例。<br></p><p style='line-height:2em;font-size:15px;letter-spacing:2px;'><br></p><p style='line-height:2em;font-size:15px;letter-spacing:2px;'><strong>六、四川瀛楷典扬律师事务所办理的四川某金属资源有限责任公司破产重整案</strong><br></p><p style='line-height:2em;font-size:15px;letter-spacing:2px;'>本案是利用破产重整程序化解民营企业债务风险、保障企业生产以及保障社会资源有效利用的典型案例。某金属公司名下的许可证资质在地方具有唯一性，其持有10万吨再生铝项目环保批复，随着中国“双碳”目标的提出、全国碳排放权交易市场的上线，该资质的价值将得到进一步提升。重整计划整合债权人订单资源、项目环评批复、公司废旧金属回收资质等资源，引入新的投资人，开展厂房维修、设备检修，借助常态化的府院联动机制，灵活采取债转股方式为主的债权受偿方案，在保存公司核心生产要素的同时，最大程度保护抵押债权人、企业职工等全体债权人合法权益，排除生产运营中的障碍，成功恢复生产经营。通过重整程序，公司的稀缺资质成功得到保留并延续，是我市政法系统保护民营企业合法权益、持续优化法治化营商环境的宝贵经验。<br></p><p style='line-height:2em;font-size:15px;letter-spacing:2px;'><br></p><p style='line-height:2em;font-size:15px;letter-spacing:2px;'><strong>七、东坡区人民检察院办理的张某职务侵占案</strong><br></p><p style='line-height:2em;font-size:15px;letter-spacing:2px;'><br></p><p style='line-height:2em;font-size:15px;letter-spacing:2px;'>民营经济是社会主义市场经济的重要组成部分，在稳增长、促创新、增就业、惠民生等服务党和国家中心工作中发挥着重要作用。职务侵占等内部贪腐问题困扰民营企业发展，严重影响企业权益。本案中，检察机关充分发挥检察职能，坚持依法惩处与司法保护相结合，聚焦民营企业发展，全面梳理企业的内生问题，督促企业建立健全内部管理机制，帮助企业构建内部反腐“防火墙”，有效防范法律风险，助推企业健康发展，并充分运用鲜活的案例加强警示教育，提升员工法律意识，实现了“办理一案，治理一片”的政治效果、社会效果和法律效果。同时，检察机关坚持宽严相济刑事政策，将追赃挽损贯穿到履职全过程，积极运用认罪认罚、刑事和解等手段，将退赃退赔情节作为提出量刑依据的重要依据，通过释法说理有效促使犯罪嫌疑人退赃退赔，积极挽回企业经济损失，真正打通了民营经济司法保护“最后一公里”。<br></p><p style='line-height:2em;font-size:15px;letter-spacing:2px;'><br></p><p style='line-height:2em;font-size:15px;letter-spacing:2px;'><strong>八、市中级人民法院办理的眉山市彭山区某屠宰有限责任公司与杨某某、郑某某公司解散纠纷案</strong><br></p><p style='line-height:2em;font-size:15px;letter-spacing:2px;'>本案中某屠宰公司两名股东各占50%的股权，无法对公司运营形成有效表决，2名股东因经营分歧多次发生纠纷，导致公司停业，股东申请公司解散。法院经审理认为，该公司是彭山区唯一一家A类生猪屠宰企业，如直接解散公司，可能会严重影响当地居民生活保障。在案件办理过程中，法院通过协调相关单位、多次组织调解，最终成功促成2名股东达成和解，在审结案件的同时，不仅使公司起死回生，还方便了人民群众的日常生活，保障了民生。该案的处理系法院充分发挥司法职能作用，主动延伸司法服务，坚持以调解为抓手，使当事人达成和解，实现双赢，助力营造公平、规范、稳定的法治化营商环境，为企业健康发展保驾护航的有力印证。<br></p><p style='line-height:2em;font-size:15px;letter-spacing:2px;'><strong>九、洪雅县人民法院办理的洪雅县某藤椒专业合作社与朱某某、雷某某、乐山市某农业科技有限公司、简某某执行异议之诉案</strong><br></p><p style='line-height:2em;font-size:15px;letter-spacing:2px;'><br></p><p style='line-height:2em;font-size:15px;letter-spacing:2px;'>企业不能清偿到期债务，且资产不足以偿债或者明显缺乏清偿能力时，不仅仅只有破产和解散两条途径。在符合法定条件时，让股东出资加速到期更有利于企业回归到正常经营，既避免股东“做空”企业，又起到保护交易安全的积极作用，也让本案中民营企业的纸上权益能够兑现为“真金白银”，与新修订的公司法中限制认缴期限的立法精神一致。本案认定被执行企业已符合股东出资加速到期的条件，判决股东在尚未缴纳出资的范围内以其认缴出资额为限承担连带清偿责任，符合《全国法院民商事审判工作会议纪要》精神，也符合即将于2024年7月1日实施的《中华人民共和国公司法》中限制认缴期限，让股东及时充实企业资本良性经营发展的精神，既有效化解作为申请执行人的民营合作社执行难问题，有力保护交易安全，又促进被执行企业股东诚信经营，真正担负起让企业回归正常经营发展的责任，避免进入破产程序，从司法层面起到了“护企兴商、助企纾困”的积极作用。<br></p><p style='line-height:2em;font-size:15px;letter-spacing:2px;'>随着科技快速发展，大量个人信息被泄露已然成为人们的困扰。装饰公司非法获取他人信息，严重侵犯他人隐私，干扰他人正常生活秩序。装饰行业管理混乱导致大量纠纷，造成社会不和谐因素。本案检察机关探索刑事处罚和企业合规审查衔接，经调查走访、征求意见、充分论证，适时启动企业合规工作，主导并借助第三方监督评估专业力量，全面筛查企业合规风险点，引导涉案企业制定完善合规计划，强化整改落实，具有创新意义，既保证了案件办理的法律效果，维护了人民群众合法权益，又充分发挥检察职能，帮助企业恢复生产经营，促进行业治理，达到办理一案治理一片目的，营造了良好的法治营商环境。</p></section><section
